US Company Registration for Non-Residents

We register US LLCs for owners who live outside America. You don't need to travel, and you don't need an SSN or ITIN either. We prepare the documents, obtain the EIN and explain in advance which reports the company files every year. Prices start at $1,500 with the EIN included, and the state fee is paid separately.

State and entity type that fit you
US agent and address for year one
EIN without an SSN, IRS filings

What US company registration includes

We handle everything from choosing the state to the IRS letter with your EIN. ReLocate has been in business for almost 20 years. You sign electronically and receive the documents as PDFs.

01
Choosing the state and entity
For an online business without investors, a Wyoming LLC is usually enough. Delaware and a C-Corp make sense when venture investors are coming in.
02
State filing
We check the name, file the Articles of Organization and appoint a registered agent with a physical address in the state. The state won't register a company without one.
03
Operating Agreement
We draft the LLC agreement and the sole member's resolution. Banks, payment services and marketplaces ask for them when they verify the owner.
04
EIN tax number
We file Form SS-4 with the IRS without an SSN or ITIN. You need the EIN for a bank account, Stripe, Amazon and annual filings.

US company registration cost

The price depends on the state and on what the company needs right after formation. State fees are paid separately at the state's rates.

from 1,500 USD
Company registration
An LLC in the state you choose, registered agent and address for the first year, Operating Agreement, member's resolution and the EIN.
from 1,000 USD
Tax and reporting
Form 5472 with a pro forma 1120, the state annual report, taxes of a foreign owner and the company structure.
150 USD
Consultation
We look at your plans, your country of residence and payment services, then pick the state and entity type.

Additionally

* Registration and tax prices are shown as "from". The total depends on the state, the number of members and extra documents, such as an apostille for use abroad.

- state filing fee (Wyoming $100)

Which state to choose - Wyoming or Delaware

A US company can work with clients across America and abroad, wherever it is registered. The state decides the fees, the annual reports and what appears in the public registry.

  • Wyoming. The LLC filing fee is $100 and the annual report starts at $60. There is no state income tax, and member names don't go into the registry. A good fit for online services, SaaS and marketplace sellers.
  • Delaware. Every LLC pays a $400 annual tax by June 1 and files no separate annual report. Founders pick it when they plan venture funding and a C-Corp.

An S Corp isn't an option for a foreign owner, because IRS rules don't allow nonresident aliens as shareholders. So a founder outside the US usually chooses between an LLC and a C-Corp.

If you need the company to move to the US, the requirements are different. See US visas for business and investors and the L-1 visa for transfers to a US branch.

A business bank account for your US company

You open the account after formation and once the EIN arrives. Large US banks such as Chase or Bank of America open business accounts at a branch. Without a trip, you are left with fintech accounts and payment services, and they check the owner as well as the company - where you live and where you run the business from.

Citizens of some countries find it hard to open an account. Some fintech providers don't accept owners who live in certain countries, and others limit what the account can do depending on the owner's address. We look at your country of residence before formation, not after.

Payment services such as Payoneer or Wise Business are not banks, but they can give the company US account details to receive payments from clients. What Wise opens depends on the country of your trading address, meaning the place you actually run the business from. A registered agent's address doesn't count. You pass the identity check yourself, with your passport and a selfie. Stripe is connected once the company has an EIN and an account.

Fintech providers don't always explain why they close an account. LLC owners most often link closures to buying crypto from the company account or logging in through a VPN or from a country other than the one in the application. Payments should also match the business you described when you opened the account. Keep at least two working accounts or payment services, so one closure doesn't stop your payments.

Not sure which state and account fit your case?

Tell us about your business and where you live. We'll reply with what you need for registration and a bank account.

Documents you will receive

State and IRS documents arrive electronically. If you need them in another country, the apostille is ordered separately.

Articles of Organization
The formation document stamped by the state, plus the Certificate of Organization.
Certificate of Good Standing
Confirms the company is active. Banks and partners ask for a recent one.
Operating Agreement
The LLC agreement. Who owns the company, how decisions are made and who signs.
Member's resolution
Transfers the company to you if an agent or organizer filed the formation.
IRS EIN letter
The company's tax number (CP-575). Needed for the account, Stripe and filings.
Form W-8BEN
For payment services and US clients, so tax isn't withheld from payouts.

How US company registration works and how long it takes

From the consultation to a working account usually takes one to three months. The EIN is the longest wait.

01
Consultation
We ask where you live, what the company does and where the money will come from. That decides the state, the entity type and the payment service.
02
State filing, 1-3 days
Wyoming registers an LLC online, usually on the day of filing. The state documents arrive as PDFs.
03
EIN, from 2 weeks
Under IRS rules, a faxed application gets the number in 4 business days. In 2026 the answer takes 2-8 weeks.
04
Account and payments
With the EIN and company documents, we submit the application to a payment service. The owner passes the check personally.

What the company files after registration

A single-member LLC owned by a nonresident reports to the IRS even if it hasn't earned a dollar.

  • Form 5472 with a pro forma Form 1120, every year by April 15. It goes to the IRS by mail or fax, e-filing isn't allowed. The penalty for not filing is $25,000.
  • State annual report. Wyoming charges from $60 a year, Delaware has the $400 annual tax instead of a report.
  • BE-13 for the Bureau of Economic Analysis (BEA), within 45 days after forming a company in which a foreign person owns 10% or more. You file it even if BEA hasn't contacted you. For a new LLC it's almost always the short Claim for Exemption, used when the cost of setting up the company is $40 million or less. The penalty for not filing starts at $5,911.
  • If the LLC has two or more members, the IRS treats it as a partnership. Instead of Form 5472, it files Form 1065 by March 15 and a K-1 for each member. A late return costs $255 per member for each month, up to 12 months.
  • If the LLC pays US contractors, it issues Form 1099-NEC to each one paid $2,000 or more in a year. The threshold applies to payments from 2026, before that it was $600.

Companies created in the US no longer file beneficial ownership (BOI) reports with FinCEN. FinCEN made this permanent with its final rule of August 11, 2026.

Taxes in your home country depend on its own laws. Many countries have controlled foreign company rules, so we discuss the structure before formation, not after.

If you already have an LLC

If your company was formed through an online service or an intermediary, check it before you open an account or go through a payment service's verification.

  • Company status. In Wyoming it's free in the state registry, where the three Standing fields (Tax, RA, Other) should read "Good". In Delaware, unpaid tax shows for free on the tax payment page, a status check costs $10 and status with filing history $20.
  • Delaware tax. If the $400 isn't paid by June 1, the state adds a $200 penalty and 1.5% interest a month. After three years of non-payment the company becomes void.
  • Tax classification with the IRS. Formation services sometimes file Form 8832 or Form 2553 (S Corp election) for a non-resident. An S Corp isn't available to a foreign owner, and a new classification election usually can't be made for 60 months.
  • EIN letter (CP-575). The responsible party in it should be the owner. If an intermediary got the EIN on their own number, a bank may refuse the account.
  • Operating Agreement. The owner's address in it should be current, because the bank compares it with the application.

You can check the state status yourself. If you find discrepancies or debts, we'll go through them at a consultation, which costs $150.

US company registration - frequently asked questions

Can a non-resident register a company in the USA remotely?
Yes. You need neither US citizenship, nor a visa, nor a trip to form an LLC. The filing is online, and the registered agent provides the address in the state.
How much does it cost to register a company in the USA?
Our fee starts at $1,500 for an LLC with a registered agent and address for the first year, EIN included. The state fee (Wyoming - $100 at formation and from $60 a year) and the agent from year two are paid separately.
Do I need an SSN or ITIN to get an EIN?
No. A foreign owner files Form SS-4 by fax, mail or phone and writes "Foreign" in the number field. The IRS online application doesn't work without an SSN or ITIN.
Do I need an ITIN as an LLC owner?
Not to form the company, get the EIN or file Form 5472. An ITIN may be needed for a personal US bank account, PayPal US and some fintech services. It's issued on Form W-7 and expires on December 31 if it hasn't appeared on any federal tax return for three years in a row.
Can I get an EIN in one day through an intermediary?
The IRS issues an EIN online right away, but only to applicants with an SSN or ITIN. If an intermediary applies with their own number, the IRS letter names them as the responsible party instead of the owner. Banks and payment services compare that letter with the owner and may refuse, and fixing the record can cost more than a new LLC. That's why we file Form SS-4 in the owner's name, even though it takes longer.
Do I need to register my business in more than one state?
Usually not at the start. A company registers in one state and can sell across the US. Registration in another state becomes necessary when you open an office, hire staff or run operations there.
Does a nonresident's LLC pay US taxes?
If the company has no office, staff or warehouse in the US and provides services outside America, there is usually no federal income tax. Form 5472 is still due every year. If you sell goods to US buyers, state sales tax may apply.
Can I get a US tax residency certificate (Form 6166)?
No, if the LLC has a single foreign owner. The IRS treats such a company as a disregarded entity and doesn't issue Form 6166 for it. Tax treaties apply based on the owner's own country of residence, so a residency certificate for a client or partner usually comes from there.
Can a foreigner open a US business bank account?
It depends on where you live. Large banks usually want a branch visit, and fintech services check the owner's country of residence. For some countries a remote account is practically unavailable, so we check this at the consultation.
Does a US company give me the right to a visa?
No, an LLC alone doesn't. An E-2 visa requires a real investment in a business that operates in the US and citizenship of a treaty country. Details are on the E-2 visa page.
