Registration of your business in Poland

If we are registering a JDG (an analogue of the Ukrainian FOP), you will need a PESEL. It can only be obtained in person. If we are registering a Sp. z o.o. company, we can issue a notarial power of attorney and act on your behalf without your presence. But note that most banks require a personal meeting when opening an account.

For JDG the process may take 2-5 business days after all necessary documents have been prepared. For Sp. z o.o. – 10-14 days.

The basic package of documents includes a passport, PESEL, proof of address in Poland – lease agreement or registration. For Sp. z o.o. we additionally prepare the company’s statute, information about the founders and their shares, confirmation of contribution of the statutory capital – at least 5,000 zlotys.

It is safer to entrust this matter to our accountants. The choice of taxation model depends on the specifics of your business, as well as the projected income and expenses. For companies, this may be CIT (Corporate Income Tax) with a standard rate of 19%. There are also preferential rates and special regimes. For entrepreneurs, there is: a general system – a rate of 12% or 32% depending on income a fixed tax – 19% on all income a lump-sum or one-time tax (podatek ryczałtowy) – from 2% to 17% depending on the type of activity Also, do not forget that you may be a VAT payer.

VAT is required if: your annual revenue exceeds PLN 200,000 you have counterparties from other EU countries you are suppliers of certain types of goods and services. Trade in alcohol, tobacco products, precious metals, electronics. Or the provision of legal and consulting services. This is not a complete list. Do not forget that you can become a VAT payer voluntarily. But it is better to make this decision after consulting an accountant.

Of course, you can register a company and do business without knowing the language. It is not prohibited by law. But if you plan to personally interact with government agencies and banks, it will be difficult without knowing the language. Therefore, we recommend enlisting the support of lawyers who can represent your interests and act on your behalf.
